Job Summary

The Senior Counsel position will report to the Managing Counsel and will provide legal services, support and advice on complex and routine transactional matters involving the enterprise, care delivery system, and health plan. This role will provide key legal and strategic advice and support on complex and routine matters involving enterprise-wide digital services, technology-enabled initiatives, and innovation-driven transactions.

Essential Functions
  • Serve as the primary strategic and legal advisor to senior leaders on a broad range of digital services and technology transactions, including transaction design, negotiation, drafting, and implementation. This includes, but is not limited to, digital services agreements, enterprise software and SaaS arrangements, cloud services, data analytics platforms, artificial intelligence and machine learning solutions, clinical and administrative technology partnerships, and technology-enabled strategic collaborations.

  • Advise on the legal, regulatory, and operational implications of deploying and scaling digital health tools and AI-enabled solutions, including issues related to data use, algorithmic decision-making, automation, interoperability, cybersecurity, intellectual property, data privacy, and risk allocation.

  • Apply a strong understanding of health system operations to deliver actionable, practical, solution-oriented legal guidance when advising on digital services/AI strategy, technology contracting models, regulatory considerations, vendor risk management, and alignment with organizational innovation and transformation goals.

  • Draft, review, and negotiate technology and digital services agreements, including master services agreements, SaaS and cloud agreements, data use and data sharing agreements, AI licensing and development agreements, professional services agreements and statements of work, confidentiality and data protection agreements, intellectual property provisions, and related ancillary documents, ensuring alignment with business objectives and regulatory requirements.

  • Provide clear, practical guidance to business and senior leaders on emerging legal issues related to AI, including governance frameworks, responsible application, risk mitigation strategies, and compliance with evolving federal and state laws and guidance.

  • Communicate complex legal and technical concepts in a clear and concise manner to non-legal business partners, senior leaders, and executive stakeholders.

  • Establish and maintain collaborative working relationships with fellow attorneys, legal specialists, and other team members throughout the organization, and provide mentorship, direction, and guidance as appropriate.

  • Foster and maintain strong relationships with external legal counsel, consultants, and technology advisors, ensuring cost-effective engagement and alignment with enterprise legal and risk management objectives.

Qualifications

  • Required Doctorate from an ABA accredited law school
  • 7 years of relevant experience (Required)
    Significant experience advising on complex digital services, technology, and commercial transactions, including enterprise technology agreements and data-driven services, with demonstrated ability to lead and manage sophisticated transactional matters in a large, regulated organization. Combination of in-house and private practice experience preferred.
  • 5 years of relevant experience (Required)
    Knowledge of and ability to provide legal guidance on healthcare and technology-related laws and regulations, including HIPAA, data privacy and security laws, cybersecurity standards, intellectual property, antitrust, nonprofit requirements, and regulatory frameworks applicable to digital health and AI-enabled solutions.
  • 3 years of relevant experience (Preferred)
    Experience leading cross-functional teams, including legal professionals and non-legal stakeholders, through complex technology and digital services initiatives.
  • CRT-Attorneys working as counsel (ATTORNEY) - ABA American Bar Association Upon Hire preferred
